MintzTech Connect: All Things Technology — December 2021

By Dan DeWolf and Sam Effron

As we head into the holiday season of another crazy year marked again by the global pandemic, we want to thank our readers and clients for their support and resilience during these often challenging times. We have been amazed and gratified to see so many of our clients continue to thrive and grow, and we note that many of our clients are posting record performing years. We wish to acknowledge the spirit and grit of those entrepreneurs and we are grateful to have the opportunity to be part of their successes.

We also want to remind readers that in addition to MintzTech Connectwe publish a website called MintzEdge. We’ve built MintzEdge to be a resource for entrepreneurs. Please check it out as we constantly update it. We hope that you find it helpful. We want to highlight that we have added a page about our pets here as we all know how important they have been to so many of us during these unusual times.

We have great content in this edition of MintzTech Connect. We lead with a video on the patentability of blockchain and cryptocurrency. This is followed by an article on SEC Rule 148, which clarifies what one can say (and cannot say) at a Demo Day. Next, we have an article on a recent Delaware Supreme Court decision regarding the advance waiver of appraisal rights, a waiver so often included in venture capital documentation. Lastly, our company spotlight focuses on Miyoko’s Creamery, which offers consumers delicious, plant-based dairy-like products!

Be safe and be well, and enjoy this holiday season,
Dan + Sam
